    Leverage: net debt, covenants, and automated monitoring

    Leverage measures how much the company relies on third-party capital to fund operations and investment. Metrics such as gross debt, net debt, debt/EBITDA, debt/equity, and interest coverage show the size of leverage and the headroom to pay interest and principal.

    Debt is not a villain by default. It becomes dangerous when finance cannot see indexers, the amortization calendar, and covenants in the same place it sees EBITDA and cash. Then the bank notices before the board.

    What leverage is

    Common cuts:

    • Gross debt: loans, facilities, bonds, and other interest-bearing items.
    • Net debt: gross debt − cash and equivalents (per policy).
    • Net debt / EBITDA: how many years of operating generation would “pay” the debt.
    • Debt / equity: relative weight of lenders and shareholders.
    • Interest coverage: EBITDA (or EBIT) / interest expense.

    Policy must say what counts: leases, related-party loans, cards, supply-chain finance, hedges. Without that, every analyst calculates a different leverage number.

    Why it matters

    Leverage governs:

    • capacity for new CAPEX;
    • cost of capital (WACC);
    • internal rating and covenants;
    • dividend capacity;
    • resilience in the downside scenario.

    Strong EBITDA with principal bunched in the next quarter is leverage hidden in the calendar.

    How it works in practice with automation

    1. Debt contracts and balances come from the ERP, bank, or controllership.
    2. Reconciled cash feeds net debt.
    3. EBITDA and interest come from the management P&L.
    4. The workflow calculates ratios and covenant headroom.
    5. Alerts fire at X% of the limit, not only on breach.
    6. The downside scenario tests the ratio with lower revenue or higher rates.

    Applied example

    A company sat at 2.1x net debt/EBITDA, with a 2.5x covenant. Finance only saw the ratio at close. In May, a drawdown plus delayed receivables would have taken the pro forma to 2.4x.

    With continuous monitoring, treasury delayed the drawdown and accelerated collections. The covenant did not become June's surprise.

    How to implement

    1. Lock the dictionary of gross and net debt.
    2. Register covenants, thresholds, and measurement cadence.
    3. Unite debt, cash, EBITDA, and interest.
    4. Put debt service in cash flow.
    5. Set an early alert (for example, 80% of the limit).
    6. Review after a raise, hedge, or change in adjusted EBITDA.

    When it makes sense to automate

    It makes sense with several facilities, indexers, covenants, or when the board asks for the ratio often. Simple single-bank debt can live on a well-documented monthly routine.

    Common mistakes

    • net debt without a restricted-cash policy;
    • “adjusted” EBITDA different from the covenant definition;
    • ignoring short-term debt in the calendar;
    • watching the ratio and not refinancing;
    • stale WACC after new debt.
